These Terms of Use and Purchase Conditions (“Terms”) are a legally binding agreement between you (“User,” “Customer,” “You,” or “Your”) and FRAGRANT CODE (“FRAGRANT CODE,” “Company,” “We,” “Us,” or “Our”). These Terms govern your access to and use of the website located at fragrantcode.com and any related online services or tools (collectively, the “Site”), as well as your purchase and use of our digital fragrance materials and formulation documents (the “Formulas”).

By visiting the Site or purchasing any Formula, you confirm that you have read and accepted these Terms and our Privacy Policy. If you do not agree, you must not use the Site or purchase any Formulas. We may update these Terms from time to time. Continued use of the Site after updates are posted is accepted by the revised Terms.

1. User Eligibility

The Site and Formulas are intended only for individuals who can legally enter into binding agreements. You may use the Site only if you are at least 18 years old or legally competent under the laws of your jurisdiction, or you are acting under the supervision and authorization of a parent or legal guardian. If you do not meet these criteria, you are not permitted to access the Site or purchase Formulas.

2. About FRAGRANT CODE

FRAGRANT CODE develops and distributes proprietary digital fragrance formulations, accords, bases, and technical scent structures created through perfumery expertise, analytical methods, and research. After a successful purchase and payment confirmation, your Formula is delivered digitally, generally as a PDF or similar file, to the email address provided at checkout. Unless explicitly stated, we do not sell finished perfumes, raw materials, or physical fragrance samples. All Formulas are confidential proprietary material and are provided only to paying customers under these Terms.

3. Orders and Payments

Payments are processed through third-party payment providers such as Stripe, PayPal, or other listed processors. Available payment methods may vary by region. Prices are shown in [Currency, e.g., USD] unless otherwise specified. Any currency conversion display is informational only and the final charge is processed in the stated billing currency. By submitting an order, you can tell the Company and its processors to charge your selected payment method.

4. Digital Product Refund Policy

Because Formulas are delivered as digital, non-returnable intellectual property, refunds or exchanges may be granted only if the Formula file has not been accessed or downloaded. Once a Formula has been delivered and accessed, the sale is considered final. Refund requests must be submitted to info@fragrantcode.com and are reviewed case by case.

5. Accounts and Credentials

Certain features may require account registration. You agree to provide accurate and up-to-date registration details, maintain the accuracy of your information, safeguard your login credentials, and promptly notify us of any unauthorized account use at info@fragrantcode.com. You are responsible for all actions taken under your account.

6. License and Permitted Use of Formulas

When you purchase a Formula, you receive a limited, personal, non-exclusive, non-transferable license to use it. You may use the Formula for personal learning and evaluation, internal development work, and to produce and sell finished fragrances that you create using the Formula. You may not share, publish, upload, or distribute the Formula document, resell or sublicense the Formula itself, post the Formula in databases, forums, social platforms, or repositories, or claim authorship or ownership of the Formula document. Commercialization of the finished fragrance is permitted, but commercialization or redistribution of the Formula file or composition sheet itself is strictly prohibited.

7. Intellectual Property Rights

All Formulas, documents, platform text, graphics, branding elements, and related materials are protected by intellectual property laws. All rights remain with FRAGRANT CODE or its licensors. No ownership rights are transferred to you through purchase. You may not use our brand name, logo, or identifiers in product marketing or promotion without prior written approval requested via info@fragrantcode.com. We do not grant permission to use third-party trademarks, packaging designs, or brand identities in connection with our materials.

8. Proper Conduct and Legal Compliance

You agree to use the Site and Formulas in a lawful and ethical manner. Prohibited uses include trademark infringement or counterfeiting, misrepresentation of product origin, deceptive or misleading commercial practices, unauthorized use of confidential information, and selling products under another party’s brand without authorization. You are solely responsible for compliance with safety, regulatory, labeling, and manufacturing requirements for any fragrance you produce.

9. Regulatory and IFRA Compliance Notice

Some Formulas offered through FRAGRANT CODE are derived from analytical studies of fragrances originally released in earlier periods of perfumery history. Certain materials used in those original products may have been permitted at the time of release but are now restricted or limited under current industry standards and guidelines, including IFRA Standards. Not all Formulas are guaranteed to be IFRA-compliant in their original reconstructed form. Reformulation, restriction adjustments, or ingredient substitutions may be required to meet current IFRA or local regulatory requirements. FRAGRANT CODE does not represent or warrant that any Formula is compliant with IFRA, regional cosmetic regulations, or other safety standards in your jurisdiction. You are solely responsible for reviewing, adapting, and validating any Formula for regulatory compliance before manufacturing, distributing, or selling any finished fragrance product.

10. Platform Changes and Availability

We may modify, replace, suspend, or remove Site features, Formula offerings, or delivery formats at any time without prior notice.

11. No Warranty

Formulas and Site content are provided on an as-available and as-is basis, without warranties of any kind, express or implied. We do not guarantee specific olfactory results, ingredient compatibility, stability outcomes, regulatory acceptance, IFRA compliance, or commercial performance. Results vary depending on materials, technique, substitutions, and handling.

12. Limitation of Liability

To the fullest extent permitted by law, FRAGRANT CODE is not responsible for indirect, incidental, or consequential damages arising from use or misuse of Formulas, ingredient substitutions, manufacturing errors, regulatory or labeling failures, non-compliance with IFRA or other standards, or business losses related to fragrance products. All use of the Formulas is at your own risk and responsibility.

13. Suspension or Termination

We reserve the right to suspend or terminate accounts if these Terms are breached, misuse is suspected, legal or regulatory requirements demand it, or platform security is at risk. Accounts may be disabled or removed upon termination.

14. Events Beyond Our Control

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including technical outages, cyber incidents, natural disasters, or supply disruptions.

15. Governing Law

These Terms are governed by the laws of [Your State/Country]. Any disputes will be resolved exclusively in the courts of [Your Jurisdiction].

16. Entire Agreement
